These Terms of Service (“Terms”) form a legally binding agreement between you and Daash Technologies Limited, a company doing business as “Daash” (“Daash”, “we”, “us”, or “our”). These Terms govern your access to and use of our website at https://daashapp.co/, mobile applications for iOS and Android, point-of-sale (POS) systems, inventory management tools, order processing features, e-commerce website builders, sales analytics dashboards, and all related services and features (collectively referred to as the “Websites” or “Services”).

By creating an account, processing a transaction, logging in, or otherwise accessing or using any part of the Services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree with any part of these Terms, you must immediately stop using the Services.

Our Privacy Policy, Acceptable Use Policy, and any applicable Merchant Terms are incorporated into these Terms by reference and form part of this agreement. In these Terms, “You” refers to the individual user, business entity (such as a restaurant, retailer, e-commerce store, or service provider), or any affiliates accessing or using the Services on behalf of a business. We provide the Services without any warranties except those explicitly stated in these Terms.

About Us and Our Services

Daash is a leading cloud-based point-of-sale (POS), inventory management, and e-commerce platform designed specifically for businesses operating in Nigeria, including restaurants, retail shops, grocery stores, and online merchants. We help streamline your operations by offering a full suite of integrated tools and services, including:

  • Quick setup of customizable e-commerce websites with order management and payment processing.
  • Real-time POS systems for in-store and online sales, supporting cash, cards, transfers, and digital wallets.
  • Advanced inventory tracking with low-stock alerts, reorder suggestions, and multi-location support.
  • Comprehensive sales analytics, reporting dashboards, and performance insights for better decision-making.
  • Seamless integrations with payment gateways, delivery partners, and accounting tools.
  • Tools for promotions, customer loyalty programs, purchase history, and personalized recommendations.

Any new features, tools, updates, or enhancements added to the Services in the future will automatically be governed by these Terms. We continuously evolve our platform to meet the needs of growing businesses.

Our Relationship with You

Daash operates solely as a neutral technology provider and facilitator. We do not control, endorse, guarantee, or assume any liability for the products you sell, the identities or legitimacy of your customers, the completion of any transactions, the quality or safety of goods, the accuracy of inventory data, or any disputes that may arise between you, your customers, suppliers, or third-party service providers. All business risks, including product quality, regulatory compliance, and operational decisions, remain entirely with you.

Privacy Policy

We collect, use, store, and protect your personal data, business information, transaction histories, inventory records, customer details, and analytics data in strict accordance with our Privacy Policy. Our practices fully comply with the Nigeria Data Protection Regulation (NDPR) 2019, the Nigeria Data Protection Act 2023, and international best practices. Your Content

“Your Content” means any information, data, materials, or items you upload, submit, or display through the Services, such as product listings, images, pricing, inventory details, customer data, menu items, or promotional content.

By providing Your Content, you grant Daash a worldwide, perpetual, irrevocable, royalty-free, fully sublicensable license to host, store, use, display, reproduce, modify, adapt, distribute, and create derivative works from Your Content as necessary to operate, improve, and provide the Services. This license survives termination of your account.

You represent and warrant that Your Content is accurate, complete, lawful, and does not infringe any third-party rights. You agree to indemnify and hold Daash harmless from any claims arising from Your Content. We reserve the right to review, edit, remove, or refuse any Your Content at our sole discretion.

Restrictions on Use of Our Services

To ensure a safe, reliable platform for all users, the following actions are strictly prohibited. Violation may lead to immediate suspension or termination of your account:

  • Attempting to reverse-engineer, decompile, or replicate any part of our platforms or software.
  • Overloading servers with excessive requests or denial-of-service activities.
  • Introducing malware, viruses, or harmful code.
  • Engaging in illegal, fraudulent, or unethical activities, such as fake transactions or payment evasion.
  • Bypassing security, hacking, or scraping data without permission.
  • Creating competing services using our IP or data.

Age Restriction

The Services are intended for use by businesses and individuals who are at least 18 years of age. If your business involves age-restricted products, you must enforce appropriate verification.

Acceptable Use Policy

Our Acceptable Use Policy (“AUP”) sets forth detailed rules for responsible use, including POS, inventory tools, and e-commerce features. Breaches may result in suspension or termination. All users must comply with Nigerian laws, including the Nigeria Data Protection Act 2023 and consumer protection statutes.

Prohibited Activities (Zero-Tolerance Policy):

  • Illegal or fraudulent use, such as fake sales or money laundering.
  • Security violations like hacking or sharing credentials.
  • Abusive practices, including spam, fake reviews, or harassment.
  • System overloading with bots or excessive automation.
  • Content violations like infringing materials or misleading info.
  • Commercial misuse, such as reselling our tools or harvesting data.

Disclaimers of Warranties

The Services are provided “AS IS” and “AS AVAILABLE”. Daash disclaims all warranties, including merchantability, fitness for purpose, uninterrupted access, accurate inventory, or reliable transactions.

Limitation of Liability

Daash shall not be liable for indirect, consequential, or punitive damages, including lost profits or business interruption. Our total liability shall not exceed fees paid by you in the prior twelve months.

Indemnification

You agree to indemnify Daash against claims arising from Your Content, violations of Terms, or your business activities.

Termination and Suspension

We may suspend or terminate access at any time, with or without cause. Upon termination, outstanding payments are due, and data may be deleted per our Privacy Policy.

Our Limited Role

Daash is a technology platform only—not a party to transactions or guarantor of outcomes.

Updates and Amendments to Terms

We may modify Terms with notice via email or dashboard. Continued use constitutes acceptance.

Governing Law

Governed by the laws of the Federal Republic of Nigeria. Disputes resolved first by negotiation, then in the High Court of Lagos State.

Entire Agreement

These Terms constitute the full agreement.

Miscellaneous Provisions

Electronic notices suffice. No assignment without consent. Force majeure excused. No partnership created.
